Review Goals, Objectives Completion Date:

  1. Create and implement a Board member selection process that more effectively meets the emergent needs
    of FOAJ. May 30, 2025 – COMPLETE

    1. Pilot an alternative Board structure and governance model that enhances the Board’s awareness and oversight of FOAJ operations.
    2. Present a special resolution to the FOAJ membership to establish the alternative governance model.
  2. Pilot a governance structure that more effectively facilitates Hindsight, Foresight, Insight, and Oversight of FOAJ operations. May 30, 2025
    1. Identify a revised governance structure to be piloted, i.e., a portfolio model. – COMPLETE
    2. Develop terms of reference for each portfolio. – JUNE 2025 BOARD MEETING
  3. Draft proposed amendments to FOAJ’s bylaws. April 2026 November 2025
  4. Review and update policies as needed. PAUSED until after Bylaw Review and Edits
    1. Create an incremental timeline for reviewing and updating FOAJ’s Policy Manual. April 2026
    2. One or more Board members are designated to review each current policy and revise it as necessary. Mid 2027
    3. Provide oversight in drafting and implementing new or revised policies. Mid 2027
  5. Establish a board structure best suited to meeting FOAJ’s emergent needs. Mid 2027
    1. The Board adopts a structure and governance model best suited to the identified and emergent needs of FOAJ, including:
      – Size of Board
      – Terms of reference for each Board member
      – Competency matrix for BOD appointment
      – FOAJ standing and potential ad hoc committee structure.
  6. Develop a Competency Matrix to indicate the knowledge, skills, and abilities needed for the Board. December 2025
    1. Compile a Competency Matrix for the FOAJ Board.
    2. Assess each Board member’s competency alignment with the matrix.
    3. Draft a Gap Analysis indicating additional competency sets needed on the FOAJ Board.

Terms of Reference: Karen C. to request each committee to complete and present at the June Board Meeting. Karen will draft a TOR for this Committee
